Welcome to the America 1st Brands Marketplace. These Seller Partner Terms and Conditions
(“Agreement”) govern your use of the America 1st Brands Marketplace platform as a third-party
seller (“Seller”, “You”). By applying to become a seller or listing products on our Platform, you
agree to abide by the following terms and policies.
- Eligibility and Registration
● Sellers must be legally registered businesses or sole proprietors authorized to transact in
the United States.
● All sellers must provide accurate business details, including tax ID (EIN/SSN), banking
information for payouts, and a valid U.S. address.
● Sellers are responsible for keeping their profiles and information up to date.
● America 1st Brands Marketplace reserves the right to approve or reject any seller
application at its sole discretion. - Seller Responsibilities
As a Seller, you agree to:
● Provide accurate and complete product listings, including descriptions, images,
ingredients/materials, shipping timelines, and pricing.
● Fulfill orders promptly and professionally.
● Respond to customer inquiries within 48 hours.
● Handle returns, exchanges, and warranty claims according to the Return and Exchange
Policies posted on the Marketplace.
● Maintain product inventory to avoid overselling. - Product Compliance
● All products listed must comply with all applicable U.S. laws, including but not limited to
FDA, FTC, and CPSC regulations.
● Products must not infringe on intellectual property rights.
● America 1st Brands Marketplace reserves the right to remove any product listings
deemed inappropriate, illegal, offensive, or non-compliant. - Fees and Commissions
● The Marketplace charges a [Insert Commission %] commission on each successful sale.
● Additional optional services (e.g., promotions, marketing, fulfillment) may incur extra
fees, outlined in the Seller Dashboard.
● Fees are deducted automatically prior to seller payouts. - Payment and Payouts
● Payouts are issued via direct deposit to the seller’s registered account on a bi-weekly
basis (unless otherwise agreed).
● Sellers are responsible for all applicable taxes, including income, sales, and use taxes.
● Payment disputes must be raised within 15 business days of payout. - Shipping and Fulfillment
● Sellers must ship orders within the stated timeframe.
● Tracking information must be uploaded once available.
● Failure to fulfill orders or repeated delays may result in penalties, suspension, or removal
from the Platform. - Returns and Exchanges
● Sellers must honor the Marketplace’s standard 14-day return and exchange policy
unless a different policy is clearly stated in the product listing and approved by
Marketplace Admin.
● In the case of damaged, defective, or incorrect items, Sellers are responsible for return
shipping and replacement costs. - Intellectual Property and Licensing
● Sellers retain ownership of their trademarks, logos, and brand materials but grant the
Marketplace a non-exclusive, royalty-free license to display product images,
descriptions, and brand content for marketing and selling purposes.
● America 1st Brands Marketplace retains all rights to its Platform content, design, and
branding. - Termination and Suspension
● Either party may terminate this Agreement with 14 days’ written notice.
● America 1st Brands Marketplace may suspend or terminate a seller’s account
immediately for violations of this Agreement, fraud, policy breaches, or customer
complaints.
● Sellers must fulfill all open orders even after termination notice, unless directed
otherwise. - Confidentiality
● Sellers agree to keep all information relating to the Platform, operations, marketing
strategies, and customer data strictly confidential.
● Sharing of sensitive information without written consent is prohibited and may result in
legal action. - Limitation of Liability
● America 1st Brands Marketplace is not liable for lost profits, data, or damages arising out
of or related to this Agreement.
● The Platform acts only as an intermediary. All product liability, claims, or disputes are the
sole responsibility of the Seller. - Dispute Resolution
● Disputes between Sellers and the Marketplace shall be resolved through good-faith
negotiation.
● If resolution is not achieved, both parties agree to binding arbitration in Dallas County,
Texas, under the laws of the State of Texas. - Modifications
● We may modify these Seller Terms at any time. Continued use of the Platform
constitutes acceptance of any changes.
● Sellers will be notified of material changes via email or the Seller Dashboard. - Contact Information
